Promoting The Program Cyberweb Solutions' Main Affiliate Network (hereby referred to as CWS Affiliate Network) is owned and operated by Cyberweb Solutions, LLC. All rights to sites in this network are reserved by Cyberweb Solutions, LLC. (http://www.cyberws.com) You, the affiliate, may promote the products and services listed in our affiliate network through your website, email communications or ezines, or in any other legitimate way deem as necessary so long as your method complies to local, federal and international laws. Promoting this program by associating it with adult sites or content is strictly prohibited and grounds for immediate termination along with possible lawsuits. Under this agreenment you are granted the right to use banners provided by us for marketing your affiliate account. This agreement grants you the ability to utilize any legtimate and legal methods in promoting your affiliate account. You are granted non-exclusive, revocable license rights to use the graphics and text provided to you by CWS Affiliate Network for the purpose of identifying your site as a participant in this Program and to assist in generating product sales. We reserve all of rights and full ownership of the graphics images and text, trade names, and other items we hold as intellectual property. Eligible Sales The CWS Affiliate Network is responsible for processing orders and receiving payment from customers who follow links from your site to the CWS Affiliate Network. We reserve the right to reject orders which do not comply with our requirements and local, federal and international laws; in all cases our decision is final. We will track sales made to customers who purchase products using special links from your site to ours and will make available reports that summarize this activity to you. You will be paid, by Cyberweb Solutions, LLC, referral fees based on certain product sales to third parties. You may not purchase products through your own links for your own use or resale. You will earn Affiliate Fees based on qualifying revenues according to schedules established by the CWS Affiliate Network. We reserve the right to modify the commission schedule at any time. Commissions Every effort will be made to process payments by the 10th of every month for all sales generated through the 1st to 1st two months prior and where commission payment is $50 (USD) or more. For example, if the current month is March then commissions from Janruary 1st to February 1st will be paid. This is to cover our refund policies. Click here to review our refund policies. No referral fees will be paid on any cancellations. Referral payments are only paid on orders that have tendered full payment. Further, any customers who opt-out of a program, product or service, request a charge-back or refund, or in any other way do not comply with their purchase costs will not earn any credit for the referrer. Our international friends may want special arrangements, because the laws and charges can be costly. We pay in US dollars only. Our bank charges $35 to wire money, with costs on the other end, too. The affiliate script works on “cookies” which last for one year. This means that if someone clicks through on your affiliate link, you will get paid if they sign up within the one year time alloted. Since we allow for cookie overwrites we pay based on whose affiliate cookie is active then the order occurs. This means that if they clicked through on Joe's site two months ago, but sign up from yours, you will receive the commission. The CWS Affiliate Network is not responsible for cookies cleared by the customer nor can we prevent the customer from ordering from a computer where their cookie is not located. Nor can we stop software such security suites, Anti-virus, etc systems from blocking, deleting or alternating cookies. Tracking Your Sales You have access to an extremely comprehensive 24x7x365 reports on your accounts activity. This is a very sophisticated affiliate system, and provides access to advanced and detailed information. General Terms You will in no way purport yourself to be an employee of the CWS Affiliate Network, Cyberweb Solutions, LLC, one of Cyberweb Solutions' sites, products or services, but only as an affiliate thereof. Any damage to Cyberweb Solutions, LLC's websites, company image, property or employees will result in civil and possible criminal action. You also agree that direct linking to our site through any unsolicited email campaign (also called “SPAM” or “UCE”) is prohibited and will be grounds for your removal from CWS Affiliate Network and possible criminal and civil action. You will be solely responsible for the development, operation, maintenance, etc. of your own website for use in advertising our products. We disclaim all liability in these matters and you will further indemnify and hold us harmless from all claims, damages, fees, and expenses relating to the development, operation, maintenance, or content of your site and advertising mediums. The term of this agreement will begin upon your acceptance of your Affiliate Program application and will end when terminated by either party. Either you or Cyberweb Solutions, LLC (CWS Affiliate Network) may terminate this agreement at any time with or without cause by giving the other party written notification of termination. Upon the termination of this agreement, you will no longer be eligible to receive Affiliate Fees from the date of termination onward. Any fees currently due to you will be processed and sent as identified above in the section marked "Affiliate Fees and Payments". These terms may be modified at any time at Cyberweb Solutions, LLC's (CWS Affiliate Network) sole discretion. Upon the changes and their posting to the CWS Affiliate Network, any new modifications will be in effect. It is your responsibility to monitor these changes and no notice of such changes is guaranteed. If any modification is unacceptable to you, your only recourse is to terminate this Agreement. Your continued participation in this Program constitutes your acceptance of such Terms. Cyberweb Solutions, LLC (CWS Affiliate Network) or any of their affiliates, employees, or associates will not be held liable for indirect, special, or consequential damages arising in connection with this Agreement or your participation herein. Further, our aggregate liability arising with respect to this Agreement and this Program will not exceed the total referral fees paid or payable to you under this Agreement. We make no express or implied warranties or representations with respect to the CWS Affiliate Network or any products, programs or services sold through the CWS Affiliate Network. In addition, we make no representation that the operation of our site will be uninterrupted or error-free. This Agreement will be governed by the laws of the United States of America and the state of Georgia without reference to rules governing choice of laws. Cyberweb Solutions, LLC is not obligated to "police" our affiliates and our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce any provision of this Agreement that comes to our attention. In all cases you use this affiliate program at your own risk, understanding and compliance with this Agreement. |
